Terms of Service

OK is a local loyalty app. It helps people discover nearby merchants, earn merchant-bound loyalty credits, and redeem them later. OK Credits are not money.

1) Acceptance of These Terms

By downloading, accessing, or using OK (the “App”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.

2) Definitions

  • “OK Credits” means loyalty credits issued by a merchant identity for use only with that merchant identity.
  • “Merchant Identity” means a store profile created within the App to issue and redeem OK Credits.
  • “Node” means an instance of the App installed on a device, which may create one or more Merchant Identities.
  • “Proximity Notes” means short notes exchanged between two nearby nodes when both parties explicitly request an exchange.

3) OK Credits Are Not Money

OK Credits are loyalty credits. They are not currency, not stored value, not redeemable for cash, and have no cash value. OK Credits:

  • are redeemable only with the issuing Merchant Identity;
  • are not transferable between users;
  • cannot be exchanged across merchants;
  • cannot be cashed out, refunded for money, or converted to any monetary equivalent.

The merchant is responsible for determining issuance and redemption rules, including any expiration, limits, or eligibility criteria.

4) No Payments Processing

OK does not process payments. Any purchase you make from a merchant (for example, paying in cash at a store) happens outside the App. The App may be used to issue or redeem OK Credits after an in-person interaction.

5) Merchant Identities and In-App Purchases

A Node may optionally create one or more Merchant Identities. Creating a Merchant Identity may require a one-time in-app purchase. In-app purchases are processed by Apple via the App Store.

  • Pricing, taxes, refunds, and billing are handled by Apple under Apple’s terms.
  • You can restore purchases using the App’s restore functionality (if available).
  • Each Merchant Identity unlock applies to that identity slot and does not represent money or credits.

6) Proximity Notes (On-Demand Exchange Only)

Proximity Notes are designed for lightweight reminders (e.g., shopping lists or featured promos). Notes are exchanged only when both parties explicitly request an exchange while nearby. The App is not a chat or messaging service.

  • Notes are not automatically pushed or synced in the background.
  • We do not guarantee delivery, persistence, or availability of notes.
  • You are responsible for the content you create and share.

7) Offline Use, Device Storage, and Data Loss

OK is designed to function offline. Some data may be stored only on your device. If you delete the App, lose your device, or reset device storage, you may lose access to your local history, credits records, or notes. Any optional sync or backup features may not be available in all versions.

8) User Responsibilities

You agree to use OK responsibly and lawfully. You are responsible for:

  • maintaining control of your device and keeping it secure;
  • not impersonating others or misrepresenting a merchant identity;
  • not using OK Credits as if they were money or transferable value;
  • not attempting fraud, duplication, replay, or manipulation of QR/Bluetooth exchanges.

9) Prohibited Use

You may not:

  • use the App for illegal, deceptive, or fraudulent activity;
  • attempt to reverse engineer, bypass security, or disrupt the App;
  • use the App to exchange money, currency, or transferable stored value;
  • use the App to harass, threaten, or spam others via notes or any feature.

10) Third-Party Services and Hardware Permissions

The App may request permissions such as Bluetooth (for discovery and on-demand exchange) and Camera (for QR scanning). Your use of these permissions is governed by your device settings. Some features may not work if you deny permissions.

11) Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF THE APP.

13) Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will reflect the latest version. By continuing to use the App after changes become effective, you agree to the updated Terms.
